Terms & Conditions
The agreement that governs every survey project — scope, payment, accuracy, liability and governing law.
These Terms govern all drone survey, LiDAR, photogrammetry, GPS/RTK, mobile mapping and geospatial consulting services (“Services”) provided by MKA Mesh Systems Ltd (“MKA”) to clients (“you”). By accepting a quotation or engaging our Services, you agree to these Terms in full.
01Definitions
- Proposal: a written quotation specifying scope, deliverables, timeline and price.
- Project: the survey work described in an accepted Proposal.
- Deliverables: the data, models, maps, reports and files produced.
- Mobilisation: dispatching MKA crew and equipment to site.
- Force Majeure: events outside reasonable control — weather, ANAC airspace restrictions, civil unrest, acts of God, power outages.
02Quotations & Acceptance
- Proposals are valid for 30 days from issue.
- A Project is accepted on written confirmation (email suffices) and payment of the deposit in clause 03.
- Scope changes after acceptance must be agreed in writing and may revise price and timeline.
- MKA may decline or withdraw a Proposal any time before written acceptance.
03Payment Terms

- MKA will not mobilise until the deposit clears; Deliverables are released on final payment.
- Overdue invoices attract interest of 2% per month from the due date.
- Prices are in XAF unless stated; international clients may be invoiced in USD or EUR by agreement. Prices exclude applicable taxes unless stated.
04Client Obligations
- Provide accurate site data, access permissions and landowner/authority consents to enter and fly over the site.
- Ensure the site is safe for crew and equipment.
- Notify stakeholders of UAV operations where required.
- Provide a competent site contact if the scope requires it.
- Disclose underground utilities, structures or hazards affecting ground-control placement.
MKA is not liable for delays, extra cost or reduced data quality caused by failure to meet these obligations.

Stated accuracies assume favourable weather, adequate satellite geometry and client-supplied GCPs where applicable. MKA is not liable for degradation from conditions outside our control (signal interference, vegetation density, inaccurate client GCPs).
06Deliverables
- Formats (LAS/LAZ, GeoTIFF, DXF, DWG, PDF report, OBJ, PLY) are specified in the Proposal.
- Supplied via secure cloud link or physical media as agreed.
- Notify any material deficiency within 14 days of delivery; afterwards Deliverables are deemed accepted.
- Deficiencies caused by MKA are corrected at no cost; those caused by changed requirements or incorrect client information may incur fees.
07Schedule, Delays & Force Majeure
- Timelines are estimates from the confirmed mobilisation date, subject to weather and airspace.
- We will not fly in conditions breaching our Health & Safety Policy (wind > 15 m/s, precipitation, visibility < 5 km).
- Weather delays are rescheduled at no extra cost; client-caused delays may add mobilisation charges.
- If a Force Majeure event continues beyond 30 days, either party may terminate with no further liability, save payment for work completed.
08Intellectual Property & Confidentiality
- On full payment, you own the Deliverables outright for any lawful purpose.
- MKA retains ownership of its methods, workflows, software, scripts and know-how.
- MKA may use anonymised imagery (without identifying client or site) for portfolio and marketing, unless you request confidentiality in writing.
- Both parties keep proprietary information confidential for 3 years after the contract ends.
09Liability
- MKA’s total liability shall not exceed 100% of the project value paid.
- MKA is not liable for loss of profit, business, or indirect/consequential losses.
- Nothing limits liability for death or personal injury caused by negligence, or for fraud.
10Termination & Governing Law
- Either party may terminate for material breach unremedied within 14 days of notice, or on insolvency.
- On termination you pay for work completed; the mobilisation deposit is non-refundable once Mobilisation has occurred.
- These Terms are governed by the laws of the Republic of Cameroon.
- Disputes go first to good-faith negotiation (30 days), then to the exclusive jurisdiction of the Douala Commercial Court. International clients may opt for ICC arbitration by agreement.
